Terms of Use

Important — please read carefully. Cleera Technology Inc. is a technology and coordination platform. We are not a law firm, mortgage brokerage, or insurance provider. By using this platform, you are engaging a technology service that coordinates independently licensed professionals — not retaining Cleera as a professional service provider. Regulated services are provided by licensed professionals operating under their own professional obligations.

1. Acceptance of Terms

By accessing or using the Cleera platform (the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms form a binding agreement between you and Cleera Technology Inc. ("Cleera", "we", "us"), a corporation incorporated under the laws of Ontario, Canada.

2. Nature of the Platform — Technology Coordination Only

Cleera is a technology company. The Platform facilitates coordination between users and independently licensed real estate closing professionals — lawyers, mortgage brokers, and insurance brokers. Cleera does not:

  • Provide legal advice or legal services;
  • Act as a mortgage broker or provide mortgage brokerage services;
  • Provide insurance advice or act as an insurance broker;
  • Hold any licence under the Law Society Act, the Mortgage Brokerages, Lenders and Administrators Act, 2006, or the Insurance Act (Ontario).

All regulated professional services visible through the Platform are provided by independently licensed professionals. Each professional is governed by their own regulatory body and professional obligations. Cleera's role is limited to platform technology and coordination support.

3. The Cleera Network

Licensed lawyers, mortgage brokers, and insurance brokers who participate in the Cleera network ("Network Professionals") are independent contractors. They are not employees, agents, or representatives of Cleera. Their engagement with you is a direct professional relationship governed by their regulatory obligations, not by Cleera.

Cleera vets Network Professionals to confirm active licensure and professional standing. However, Cleera does not guarantee the quality, accuracy, or outcome of any professional service, and is not liable for the acts or omissions of Network Professionals.

4. AI Features — Not Professional Advice

The Platform includes AI-powered features, including Claire (a coordination assistant) and support agents Luke, Matt, and Ina. These features:

  • Are technology tools, not licensed professionals;
  • Do not provide legal, mortgage, insurance, or financial advice;
  • May generate information that is incomplete, imprecise, or out of date;
  • Should not be relied upon as a substitute for advice from a licensed professional.

Any information provided by AI features on the Platform is for coordination and informational purposes only.

5. User Responsibilities

You agree to:

  • Provide accurate and complete information when using the Platform;
  • Use the Platform only for lawful purposes related to real estate transactions;
  • Not upload documents or information you do not have the right to share;
  • Maintain the confidentiality of your account credentials;
  • Notify Cleera immediately of any unauthorized use of your account.

6. Fees and Payment

Cleera coordinates the collection of a platform coordination fee in connection with each transaction. This fee is displayed in the Platform and agreed to before closing. All professional fees charged by Network Professionals (legal fees, mortgage broker fees, insurance premiums) are set by those professionals and collected on or before closing day.

No fees are payable to Cleera if a transaction does not close.

7. Intellectual Property

The Platform, including its design, software, AI features, and content, is owned by Cleera Technology Inc. and protected by Canadian and international intellectual property law. You may not copy, modify, reverse-engineer, or distribute any part of the Platform without our written consent.

Documents and information you upload remain your property. By uploading to the Platform, you grant Cleera a limited licence to process and share that information with Network Professionals solely for the purpose of coordinating your transaction.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Cleera's liability for any claim arising from your use of the Platform is limited to the coordination fees paid by you to Cleera in the three months preceding the claim.

Cleera is not liable for: (a) the acts or omissions of Network Professionals; (b) delays or failures in your real estate transaction; (c) loss or damage arising from AI-generated content; or (d) indirect, incidental, or consequential damages of any kind.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available." Cleera makes no warranty that the Platform will be uninterrupted, error-free, or free of harmful components. We disclaim all implied warranties to the maximum extent permitted by law.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of Ontario.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or platform notice. Continued use of the Platform after any change constitutes acceptance of the updated Terms.
